Spiral Studio — Terms of Service

By purchasing, accessing, downloading, installing, or using any software provided by Spiral Studio ("Company," "we," "us," or "our"), including any Spiral Studio product, together with any associated services, launchers, updates, documentation, Discord community, and content (collectively, the "Software"), you ("User," "you," or "your") agree to be bound by these Terms of Service. If you do not agree, do not access or use the Software.

1Eligibility

1.1 Minimum Age

You must be at least 18 years old, or the age of legal majority in your jurisdiction (whichever is greater), to purchase, access, or use the Software. By using the Software you represent and warrant that you meet this requirement.

1.2 Legal Capacity

You represent that you have the legal capacity to enter into a binding agreement and that your use of the Software does not violate any law or regulation applicable in your jurisdiction.

2License Grant

Subject to your full compliance with this Agreement, Spiral Studio grants you a limited, personal, revocable, non-exclusive, non-transferable license to use the Software solely for your own personal use. You are licensed to use the Software; you are not purchasing ownership of it. All rights not expressly granted to you are reserved by Spiral Studio.

3Intellectual Property

The Software — including but not limited to all source code, object code, models, algorithms, architecture, user interface, visual design, documentation, logos, and derivative works — is and shall remain the sole and exclusive property of Spiral Studio and its licensors. Nothing in this Agreement grants you any right, title, or interest in the Software beyond the limited license in Section 2. You may not use the Spiral Studio name or logo without prior written consent.

4License Keys and Machine Binding

4.1 Personal Use Only

Each license key is associated with, and intended for use by, a single user only.

4.2 No Transfer / No Resale

A license key may not be shared, sold, rented, leased, sublicensed, transferred, or made available to any other person, account, or organization.

4.3 Device Binding and Active-Machine Limit

Each license key is bound to one machine at a time. The Software may enforce this using hardware identifiers or similar technical means. You may move a key to another machine that you personally own or control in accordance with our policies and automated checks (including the reset process), but you may not use the same key on more than one machine simultaneously. Using a single key on two or more machines at once, or in a manner suggesting different users, constitutes abuse and a breach of these Terms.

4.4 Account / Identity Consistency

A single license key may be used only by the original purchaser. Using one key across multiple distinct user accounts, profiles, or identities is prohibited.

4.5 Confidentiality

You are responsible for keeping your license key confidential and secure. If your key is leaked, published, resold, or posted, it will be treated as a breach by you.

5Subscriptions, Duration, and Renewal

Some licenses are time-limited (for example, 7-day or 30-day access) and automatically expire at the end of their term; your access to the Software ends at expiry. Lifetime licenses do not expire but remain subject to these Terms. Time-limited licenses do not renew automatically; you are responsible for purchasing a new term if you wish to continue.

6Unauthorized Access, Tampering, and Reverse Engineering

6.1 Authorized Access Only

You may not access or use the Software without a valid, active license issued by Spiral Studio.

6.2 Prohibited Conduct

You may not:

• modify, alter, bypass, crack, or tamper with any part of the Software;
• attempt to remove, disable, or interfere with authentication, licensing, DRM, encryption, or security features;
• attempt to analyze, decompile, reverse engineer, disassemble, or otherwise derive the source code, structure, or operation of the Software;
• create, distribute, or assist with any tool, script, method, or service intended to spoof, forge, duplicate, replicate, brute-force, reuse, or bypass a valid license key or the machine-binding limits.

6.3 Unauthorized Features / Access

You may not attempt to access any feature, build, tier, or product that you did not purchase or that was not expressly made available to you.

6.4 Service Interference

You may not interfere with, damage, or disrupt Spiral Studio's services, infrastructure, update systems, authentication systems, payment/licensing systems, or connected services (including but not limited to the launcher, website, Discord, and APIs).

7Monitoring and Enforcement

7.1 Anti-Abuse Monitoring

Spiral Studio reserves the right to monitor use of the Software to enforce these Terms, prevent abuse, detect fraud, and protect the integrity of the service. This may include logging hardware identifiers, license-key activity, access times, and other technical metadata.

7.2 Enforcement Actions

If we determine, in our sole discretion, that you have breached these Terms, Spiral Studio may, without refund:

• suspend or terminate your license;
• revoke your access to the Software;
• block or blacklist associated accounts, payment methods, hardware identifiers, or other identifiers;
• pursue any other legal or technical remedy available.

7.3 Anti-Circumvention

Attempts to conceal identity, spoof hardware, spoof network identity, or otherwise evade enforcement measures are themselves a breach of these Terms.

8No Resale / No Commercial Use

The Software and associated credentials are licensed for personal use only. You may not resell access to the Software, bundle it with any paid service, promote it as part of a paid service, or represent yourself as an authorized distributor, reseller, or partner of Spiral Studio, without express written authorization.

9Third-Party Games, Platforms, and Assumption of Risk

The Software is an independent, third-party tool and is not affiliated with, endorsed by, or sponsored by any game, publisher, platform, or their operators. You are solely responsible for ensuring that your use of the Software complies with the terms, rules, and policies of any game, service, or platform you use it with. Use of the Software may violate the rules of such third parties and may result in consequences imposed by them (including but not limited to warnings, suspensions, or bans of your third-party accounts). You assume all such risk. Spiral Studio is not responsible for any action taken against you by any third party.

10Delivery and Activation

The Software is delivered digitally. On purchase, a license key and/or account-level access credentials are issued and can be activated immediately. Activation may bind the key to your hardware, user identity, or other identifiers. You acknowledge and agree that this binding is part of the normal operation of the Software and part of verifying authorized use.

11Refunds and Chargebacks

11.1 All Sales Final

Once a license key is issued, all purchases are final. No refunds are issued for any reason, including but not limited to: a change of mind; "no longer needed"; inability to use the key on additional machines simultaneously; a ban, suspension, or enforcement action related to a breach of these Terms; attempts to crack, tamper with, or bypass a license; or termination for breach of these Terms.

11.2 Digital Goods / Immediate Access

Because access to the Software is delivered digitally and is usable immediately after purchase, you acknowledge that you lose any right to cancel or request a refund once a license key is issued or activated.

11.3 Dispute / Chargeback Abuse

Filing a false, fraudulent, or bad-faith dispute or chargeback after receiving and using the Software is a breach of these Terms. Spiral Studio reserves the right to submit evidence of license issuance, activation events, machine binding, and usage logs to payment processors and financial institutions to contest such disputes.

12Disclaimer of Warranties

The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted access. Spiral Studio does not warrant that the Software will meet your requirements, operate without interruption, be error-free, or that defects will be corrected. You assume all risk arising from your use of the Software. No advice or information obtained from Spiral Studio or through the Software creates any warranty not expressly stated in this Agreement.

13Limitation of Liability

To the maximum extent permitted by applicable law, Spiral Studio and its licensors and service providers (collectively, the "Spiral Studio Parties") shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for lost profits, goodwill, data, use, or other intangible losses, regardless of the theory of liability (contract, tort, strict liability, or otherwise), arising out of or related to your use of or inability to use the Software, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of the Spiral Studio Parties for all claims arising out of or related to this Agreement or the Software shall not exceed the total amount you actually paid to Spiral Studio for the specific license giving rise to the claim in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions the liability of the Spiral Studio Parties is limited to the maximum extent permitted by applicable law.

14Indemnification

You agree to indemnify, defend, and hold harmless Spiral Studio and the Spiral Studio Parties from any claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use or misuse of the Software; your breach of these Terms; your violation of any applicable law, regulation, or third-party right; or any dispute or chargeback initiated by you or on your behalf. This obligation survives termination of this Agreement and your use of the Software.

15Dispute Resolution

Before initiating any formal proceeding, you agree to contact Spiral Studio on our official Discord server and attempt to resolve any dispute, claim, or controversy arising out of or related to this Agreement or the Software informally, in good faith, for at least 30 days.

16Service Availability

Spiral Studio does not guarantee that the Software or related services will be available at all times or without interruption. The Software may be subject to scheduled or unscheduled maintenance, updates, or outages. Spiral Studio reserves the right to modify, suspend, or discontinue the Software (or any part of it) at any time, with or without notice, and shall not be liable to you or any third party for doing so.

17Privacy and Data Collection

By using the Software, you acknowledge and agree that Spiral Studio may collect, process, and store certain data, including but not limited to hardware identifiers, license-key activity, access timestamps, and other technical metadata necessary for licensing, enforcement, fraud prevention, and service integrity.

This data is collected solely to enforce these Terms, prevent abuse, and improve the Software. Spiral Studio does not sell your personal data to third parties. Data may be disclosed to payment processors, legal authorities, or as required by law.

For users residing in the European Economic Area (EEA), the United Kingdom, or other jurisdictions with applicable data-protection laws: by using the Software you consent to the transfer and processing of your data in Japan. If you do not consent, do not use the Software.

18Termination

Spiral Studio may suspend or terminate your access at any time if: you breach these Terms; we detect suspected abuse, fraud, resale, or shared use; or we believe your activity threatens the stability, security, anti-fraud systems, or business interests of the service. Upon termination, your right to use the Software ends immediately; you must stop all use and delete all copies. If access is revoked for a breach of these Terms, you are not entitled to any refund or credit. Sections 3, 11, 12, 13, 14, 15, 17, and 20 survive termination of this Agreement.

19Changes to Terms

Spiral Studio may update or revise these Terms at any time. If we make material changes, we will update the "Last updated" date at the top of this page and may notify you by email or through a notice in the Software or on our website. Your continued use of the Software after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Software immediately.

20General Provisions

20.1 Severability

If any provision of this Agreement is held invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

20.2 Entire Agreement

This Agreement constitutes the entire agreement between you and Spiral Studio regarding the Software and supersedes all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

20.3 Waiver

Spiral Studio's failure to enforce any provision of this Agreement is not a waiver of that or any other provision. No waiver is effective unless made in writing and signed by an authorized representative of Spiral Studio.

20.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under this Agreement without Spiral Studio's prior written consent. Spiral Studio may freely assign this Agreement in connection with a merger, acquisition, reorganization, or sale of assets.

20.5 Force Majeure

Spiral Studio is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, or third-party service outages.
